INDEMNIFICATION CLAUSE

1. INDEMNIFICATION BY CLIENT The Client agrees to indemnify, defend, and hold harmless Mobility+Design, LLC, its owners, directors, officers, employees, agents, consultants, and subcontractors (collectively, the “Company”) from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) any breach of this Agreement by the Client; (b) any injury, damage, or loss occurring on the Client’s property, except to the extent caused by the Company’s gross negligence or willful misconduct; (c) any use, modification, or implementation of the Company’s recommendations, designs, assessments, or advice, including work performed by third-party contractors or vendors selected by the Client.

2. THIRD-PARTY CONTRACTORS The Client acknowledges that Mobility+Design is a consultation and design advisory company and does not perform construction, installation, or renovation work. The Client is solely responsible for hiring, contracting with, and managing third-party service providers. The Company shall not be liable for any act, error, or omission of any third-party contractor, vendor, or supplier engaged by the Client to carry out recommendations.

3. PROCEDURE FOR INDEMNIFICATION A party seeking indemnification (“Indemnified Party”) shall promptly provide written notice to the other party (“Indemnifying Party”) of any claim subject to indemnification. The Indemnifying Party shall have the right to assume control of the defense and settlement of such claim, provided that no settlement imposing liability on the Indemnified Party shall be made without its prior written consent.

4. LIMITATION OF LIABILITY Except as otherwise required by law, the Company’s total liability under this Agreement shall not exceed the total fees paid by the Client for the consultation services giving rise to the claim. In no event shall the Company be liable for any indirect, incidental, consequential, special, or punitive damages. By using these products and/or recommendations you agree to indemnify Mobility+Design from all liability. All material is the copyrighted property of Mobility+Design, LLC and cannot be reproduced without permission.
